By approving a quote, paying an invoice, scheduling service, or using delivered products or services, the customer agrees to these terms.
1. Products and Services
CloudRoots Technology Services provides IT consulting, technical support, hardware procurement, software licensing, cloud services coordination, network support, vendor coordination, troubleshooting, and related technology services. Each quote or invoice will describe the specific product, license, subscription, equipment, or service being purchased.
2. Payment Terms
Payment is due before product ordering, license activation, equipment release, or service scheduling unless otherwise agreed in writing.
3. Software Licenses and Subscriptions
Software licenses, security licenses, renewals, cloud subscriptions, and digital entitlements are considered delivered once the license, subscription, renewal, activation confirmation, vendor order confirmation, or entitlement information has been provided to the customer or applied to the customer's vendor account.
4. Refunds and Cancellations
Consulting labor, technical services, software licenses, subscriptions, renewals, security licenses, digital entitlements, cloud services, and special-order products are non-refundable once ordered, activated, provisioned, delivered, renewed, completed, or applied to a customer/vendor account.
5. Customer Responsibilities
The customer is responsible for providing accurate account information, device serial numbers, organization details, billing information, shipping information, administrative access, passwords, authorization, and other required information needed to complete the order or service.
6. Support Scope
Unless otherwise stated in writing, product or license sales include procurement and basic coordination only. Configuration, migration, troubleshooting, emergency support, after-hours support, onsite labor, extended vendor management, documentation, training, or recurring support may be billed separately.
7. Payment Disputes
The customer agrees to contact CloudRoots Technology Services first at finance@cloudroots.work to resolve any billing, fulfillment, or service concern before initiating a chargeback or payment dispute.
8. Third-Party Vendors
CloudRoots may resell, procure, coordinate, or support products and services from third-party vendors, distributors, manufacturers, software providers, and cloud platforms. CloudRoots is not responsible for manufacturer outages, licensing portal issues, vendor delays, distributor delays, shipping delays, policy changes, end-of-life restrictions, account restrictions, or third-party service interruptions.
9. Limitation of Liability
CloudRoots Technology Services is not liable for indirect, incidental, special, consequential, punitive, or business interruption damages, including lost revenue, lost data, downtime, loss of access, loss of productivity, vendor-related service failures, or security incidents outside CloudRoots' direct control. CloudRoots' liability for any transaction is limited to the amount paid directly to CloudRoots for the specific product or service at issue.
